Terms of Service
Published in advance
RatingSentinel is in pre-launch and accounts open once Business Profile API access is granted, so these terms do not yet bind anyone. They are published in advance so that anyone evaluating RatingSentinel can read the commitments that apply from the day it opens.
These terms are the agreement between you and us for your use of RatingSentinel. "You" means the individual accepting these terms and, where they are accepted on behalf of a business, that business as well. Anyone accepting on behalf of a business confirms they are authorized to bind it. By creating an account, connecting a Business Profile, or using the service, you agree to these terms and to the Data Processing Addendum and Privacy Policy, which form part of this agreement.
RatingSentinel is an independent product. It is not affiliated with, endorsed by, or sponsored by Google LLC.
1. Who you are contracting with
Under these terms the service is provided by Nick Reinig, based in Washington State, trading as RatingSentinel. He is currently the contracting party. We are not yet incorporated, and we expect to form a Washington entity before the product goes live.
When that entity is formed we will assign this agreement to it under section 20 and tell you that we have. Your terms do not change as a result — the same commitments carry across, owed by the entity instead.
2. Development status and early access
RatingSentinel is in development and is not currently accepting customers. When it opens, the first customers will be on early access: the service is provided without any service-level commitment, features may be added, changed or removed, fees may be waived or discounted, and we may end access with reasonable notice. We will give you a way to export your derived analysis before doing so.
3. The service
RatingSentinel reads the reviews, location information and performance metrics for the Google Business Profile locations you authorize us to access, analyzes them, and presents the results in a dashboard. The service is read-only: we do not post, edit or delete anything on your Business Profile, and we do not contact your reviewers. If we add a feature that writes to a profile, it will be one you choose to turn on.
4. Your account and your authority
You must give us accurate information, keep your credentials secure, and are responsible for everything done under your account.
You warrant that you own or are authorized to manage every Business Profile you connect, and that you have authority to grant us access to it. You must promptly disconnect any location for which that ceases to be true. Connecting a profile you are not authorized to manage is a material breach of these terms.
5. Google's terms still apply
Your Business Profile remains governed by your own agreement with Google. Nothing here alters that relationship, and you may revoke our access through your Google Account at any time. Our service depends on Google's APIs, and Google may change, restrict or withdraw them.
6. What the Health Score is, and is not
The Health Score and related analysis are analytical estimates derived from patterns in publicly posted reviews. They are probabilistic and may be incorrect in either direction. They are not statements of fact about any reviewer, business or competitor, are not evidence of fraud or wrongdoing, are not a determination by Google or any platform, and are not legal, regulatory or compliance advice.
They are provided for your internal business use. You agree that you will not:
- present our analysis as a factual finding of fraud or of any other wrongdoing;
- use it as the basis of a public accusation against any identified person or business;
- represent it as an official determination by Google, by any other platform, or by us;
- use it, in whole or in part, to make any decision about an individual person, including any decision about employment, credit, insurance, housing or tenancy.
We are not a consumer reporting agency, our output is not a consumer report, and it must not be used for any purpose regulated by the Fair Credit Reporting Act.
7. No legal or compliance advice
RatingSentinel provides monitoring and analysis. It does not provide legal advice, does not determine whether any conduct complies with the FTC's Rule on the Use of Consumer Reviews and Testimonials or any other law, and does not guarantee any regulatory or platform outcome. Compliance remains your responsibility, and you should take your own legal advice.
8. Acceptable use
- Do not resell, sublicense, white-label or redistribute the service or its output without a written agreement with us
- Do not use the service to provide an analysis service to third parties
- Do not attempt to reverse-engineer, scrape, overload or circumvent the service, or probe it for vulnerabilities except through the contact address on our Contact page
- Do not connect profiles you are not authorized to manage
- Do not use the service to harass, defame or retaliate against any person or business
- Do not use the service to solicit, generate, incentivize or suppress reviews
- Do not abuse, threaten or harass anyone working on RatingSentinel. This one ends an account immediately, without the cure period in section 14
9. Your data
You keep all rights in your data, including the data we obtain from Google on your authorization. You grant us a limited, non-exclusive license to host, process and display it for the sole purpose of providing the service to you, and for no other purpose. How we handle it, who may process it and what we are forbidden to do with it are set out in the Data Processing Addendum.
We may use aggregated, de-identified operational metrics about the service itself — request volumes, error rates, feature usage — to run and improve it. This never includes data obtained from Google.
10. Our intellectual property
The software, the scoring methods, the signal definitions, the documentation and this website are ours. Nothing in these terms transfers any of it to you. You receive a right to use the service during your subscription, and nothing more.
If you send us feedback or suggestions, we may use them without obligation or compensation to you. We will not identify you as the source without your permission.
11. Confidentiality
Each of us may receive non-public information from the other. Each of us agrees to use the other's non-public information only for the purposes of this agreement, to protect it with reasonable care, and not to disclose it except to people who need it and are bound by similar obligations, or where disclosure is legally required.
12. Publicity
We will not use your name, logo or any description of your business as a customer reference, publicly or in a sales conversation, without your prior written permission.
13. Fees
Subscription fees are billed monthly or annually in advance, based on the number of locations you connect, and are non-refundable except where required by law. The subscription price is the same wherever you are. Where sales tax applies we add it on top, and it shows on your invoice. Subscriptions renew automatically for successive periods unless canceled before the end of the current one. We will give at least 30 days' notice of a price change, which takes effect at your next renewal. If an invoice goes unpaid we may suspend the service after giving you notice and a reasonable chance to fix it.
14. Term, termination and what happens after
You may cancel at any time; access continues to the end of the period you have paid for. We may suspend or terminate your access for material breach of these terms, after telling you what the breach is and giving you 10 days to fix it. We may suspend immediately, without that notice period, where your use creates a legal or security risk or breaches section 4.
On termination we revoke our access to your Business Profiles and delete your data as described in section 11 of the Data Processing Addendum. You will have 30 days from termination to export your derived analysis before it is deleted, unless you ask us to delete it sooner.
15. Availability
We aim for high availability but do not guarantee uninterrupted service. The service depends on the Google Business Profile APIs and on third-party infrastructure; if any of those change, degrade, restrict or withdraw access, the service may be affected and we may have to modify or discontinue features. We will tell you about material changes as early as we reasonably can.
16. Disclaimers
The service is provided "as is" and "as available", without warranties of any kind, express or implied, to the fullest extent permitted by law, including any implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the analysis will identify every unusual pattern, that a pattern it flags indicates anything is wrong, or that acting on it will produce any particular business, platform or regulatory outcome.
17. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data or lost business opportunity, however caused.
To the maximum extent permitted by law, our total liability arising out of or relating to this agreement or the service will not exceed the fees you paid us in the twelve months before the event giving rise to the claim. These limits do not apply to liability that cannot be limited by law.
18. Indemnity
You agree to indemnify and hold us harmless against third-party claims, and the reasonable costs of defending them, arising from your use of the service in breach of this agreement — including any claim that you lacked authority over a connected Business Profile, that you used our analysis publicly or against an individual in breach of section 6, or that you infringed someone's rights through your use of the service.
19. Disputes and governing law
If something goes wrong, write to legal@ratingsentinel.com first and we will try to resolve it with you within 30 days. Either of us may bring a claim after that. Either of us can go straight to court without waiting if we need urgent relief, such as an injunction.
This agreement is governed by the laws of the State of Washington, without regard to its conflict of law provisions. Both parties submit to the exclusive jurisdiction of the state and federal courts located in Washington State, and waive any objection to venue there.
20. General
We may assign this agreement to a successor in connection with a reorganization, the formation of an entity to operate RatingSentinel, or a sale of the business; you may not assign it without our written consent. If any provision is unenforceable, the rest stands. A failure to enforce a provision is not a waiver of it. Neither party is liable for delays caused by events outside its reasonable control. These terms, together with the Data Processing Addendum, the Privacy Policy and any order you place, are the entire agreement between us and supersede any prior discussions. Notices to you go to the email address on your account; notices to us go to legal@ratingsentinel.com. You agree to receive communications electronically. Sections 6, 7, 9, 10, 11, 16, 17, 18 and 19 survive termination.
21. Changes to these terms
We may update these terms and will post the revised version here. Material changes will be notified to account holders by email at least 30 days in advance. Continuing to use the service after they take effect means you accept them.
